Terms of Service

These Terms of Service ("Terms") govern your access to and use of ProfitAware ("Service"), a Shopify application developed and operated by Carlsbad Shop Jams ("we," "us," or "our"). By installing or using ProfitAware, you agree to be bound by these Terms.

1. Acceptance of Terms

By installing ProfitAware from the Shopify App Store or accessing the Service at any URL, you confirm that you have read, understood, and agree to these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of Service

ProfitAware is a per-SKU profitability analysis tool for Shopify merchants. It imports your product catalog and helps you calculate true profit margins, break-even prices, and cost allocations across your product portfolio. The Service is available in the following plans:

• Starter: Up to 25 SKUs, core profitability features, 3-day free trial, $4.99/month.

• Pro: Unlimited SKUs, all features including Bundle & Promotion Analyzer and Margin History, 3-day free trial, $12.99/month.

3. Shopify Billing

All billing is handled through Shopify's Billing API. By approving a subscription charge, you authorize Shopify to collect the applicable recurring fee on our behalf. Subscription fees are billed in advance on a 30-day cycle. A 3-day free trial is provided for paid plans — you will not be charged during the trial period.

You may cancel your subscription at any time through your Shopify admin under Settings > Apps. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods.

4. Free Plan

A limited free tier is available that allows analysis of up to 12 SKUs with core features. The free plan does not include a trial period and is available indefinitely subject to these Terms.

5. Acceptable Use

You agree to use ProfitAware only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to violate any applicable law or regulation.

• Attempt to reverse engineer, decompile, or extract source code from the Service.

• Use automated scripts or bots to access the Service in a manner that could damage or overburden our infrastructure.

• Share your account credentials or allow unauthorized access to your account.

6. Intellectual Property

ProfitAware and all its components, including but not limited to software, design, text, and graphics, are owned by Carlsbad Shop Jams and protected by applicable intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or branding.

Your store data remains your property. We do not claim ownership of any product or business data you import into the Service.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, available at https://profitaware.io/privacy. By using the Service, you consent to the data practices described in the Privacy Policy.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect availability. We will not be liable for any losses arising from downtime or service interruptions.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PROFITABILITY CALCULATIONS PROVIDED BY THE SERVICE ARE ESTIMATES BASED ON DATA YOU PROVIDE AND SHOULD NOT BE RELIED UPON AS FINANCIAL ADVICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARLSBAD SHOP JAMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Termination

You may terminate your use of the Service at any time by uninstalling ProfitAware from your Shopify store. We reserve the right to suspend or terminate your access to the Service at our discretion if you violate these Terms or engage in conduct that is harmful to other users or the Service.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by updating the effective date. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of San Diego County, California.
